

FullProduct.dev End User License Agreement (EULA)

Introduction - License Agreement
This End User License Agreement ("EULA") governs your (either an individual or a single business entity, also referred to as "LICENSEE", "YOU") use of the FullProduct.dev Starterkit(s), software, documentation, and any associated materials (collectively, the "STARTERKIT" or "SOFTWARE") provided by Aetherspace Digital ("COMPANY"). By using the STARTERKIT, you agree to be bound by the terms of this EULA. If you do not accept the terms of this EULA, do not install, use, or access the STARTERKIT.
Any prior existing license agreement granted is hereby superseded by this EULA.
You may use the STARTERKIT only in accordance with the terms of this EULA to build web and mobile applications for yourself, your employer or the LICENSEE's clients.
You may not redistribute or re-sell the source code.
License Tier Purchase Requirements
FullProduct.dev is committed to supporting a wide range of development needs through both our Open-Source Preview version and our comprehensive paid STARTERKIT plans. Here’s how you can determine which option best suits your project’s requirements:

Open-Source Preview Version: We offer a free, open-source version of our Universal STARTERKIT designed for trial, experiments, educational purposes, and basic application development. This version is perfect for individual developers or small teams who wish to explore FullProduct.dev’s capabilities without initial investment.

Transition to Paid License: If your use of the Open-Source Preview reaches any of the following thresholds, a paid license will be required:

1. Revenue Threshold: Generating $10,000 or more in annual revenue building with, or using our software, signifies your growth and success! At this stage, transitioning to a paid plan is required and supports further development and scalability.

2. Advanced Features: For access to premium features such as exclusive plugins (like authentication, emails, storage, etc.), AI prompts and editor rules, and automations that enhance your development workflow, upgrading to a paid plan is necessary.

3. Team Size: If your project or business involves a team of 8 or more people frequently using FullProduct.dev, a paid license for each team member ensures optimal support, performance, and collaborative features for larger groups.

By choosing to upgrade to a paid license, you not only adhere to these guidelines but also support the continued innovation and enhancement of FullProduct.dev as a platform, premium STARTERKIT and provider of open-source Universal App starters.
Note on Commercial Use:
While the Open-Source Preview version of FullProduct.dev is available for use under the conditions specified in our Open-Source License, it is not intended for unlimited commercial use. The revenue threshold, need for advanced features, or significant team size are indicators that your project would benefit from and is required to transition to one of our paid plans.
Commercial Licensing Tier Plans and GitHub Seats
At FullProduct.dev, we cater to various user groups with tiered licensing plans, each including a lifetime license for the STARTERKIT and a specific number of GitHub seats for update access.
Plan Specifics:
Tier 1 - Solo Entrepreneurs, Indie-Founders, and Freelance Developers
Plan Options: Any of our plans are suitable, as all include at least one GitHub seat for updates.
GitHub Seat: Provides one year of update access, enabling the creation of a Private Starter from our main STARTERKIT.
Tier 2 - Startups and Scale-Ups
Startup Plan: Starts as a One-time Purchase, that includes three GitHub seats by default. Ideal for small but growing teams that have at least a few developer that might need to pull in updates. If you choose to purchase as a Startup, you are required to purchase this plan or the studio plan. You may also purchase additional GitHub seats as needed.
Tier 3 - Studios and Agencies
Studio Plan: Starts as a Yearly Subscription with five GitHub seats, facilitating the creation and management of multiple Private Starters. Ideal for large teams that frequently build new web and/or mobile projects, where at least five engineers (e.g. team lead, lead architect or senior dev) can pull in updates from our main STARTERKIT. If you choose to purchase as a Studio or Agency, you are required to purchase this plan. You may also purchase additional GitHub seats as needed.
GitHub Seats and Updates:
Definition: A "GitHub seat" assigns update access to a GitHub account, allowing for sync with our main STARTERKIT repository for a year.
Lifecycle Start: The update access period begins upon purchase of a GitHub seat, enabling the creation of a Private Starter from the main STARTERKIT. This Private Starter (a fork or otherwise) is a personalized copy meant to facilitate lifetime access in accordance to your lifetime license.
Lifecycle End: After the update access period ends, the GitHub account will lose access to new updates from the main STARTERKIT but retains access to any Private Starters created.
Optional Renewal: Purchase of additional GitHub seats is possible for ongoing updates, maintaining continuity of your ability to pull updates (git commits) from our main STARTERKIT into your Private Starters or End-Products.
Lifetime Access through Private Starters:
Completion of Onboarding: The onboarding process is complete when you have created your Private Starter, a personalized copy (fork or otherwise) of our main STARTERKIT, which you can further tailor to your initial setup needs.
Private Starter: This term refers to the lifetime accessible copy of the STARTERKIT you create during your update period. Owning a Private Starter allows you to build and expand upon this base indefinitely, while still retaining the required starting git history to provide updates during a year of active GitHub seats.
License Grant
At the appropriately purchased license tier, The COMPANY grants you an ongoing, non-exclusive, non-transferable license to use the STARTERKIT subject to the terms and conditions set forth herein.

Lifetime License: This license grants one entity, whether an individual or a company (the "Licensee") the right to use the STARTERKIT and any copies made from our repositories indefinitely.

Yearly Update Access: Alongside the lifetime license, this agreement includes one year of updates and support, starting from the date of purchase. Continued access to updates after this period requires the purchase of additional yearly updates.
Permitted Uses

You may use the STARTERKIT to develop unlimited end products for yourself or for your clients.

You are permitted to sell these end products to end users or clients.

You are permitted to create your own private STARTERKIT based on our own STARTERKIT for internal and client use.

The rights granted in this EULA survive the completion of any project started from or utilizing our own STARTERKIT or your private derivative of it.
Restrictions

The STARTERKIT and any derivatives may not be open-sourced, made publicly available, or otherwise distributed outside of direct end products.

The Licensee may not sublicense, sell, share, or otherwise transfer the STARTERKIT or any derivatives to any third party outside of the permitted uses outlined in this EULA.

The STARTERKIT cannot be used to create end products that allow end users to create their own end products from the STARTERKIT or its derivatives.

Access to the STARTERKIT via the COMPANY's platform, UI, CLI, or repositories is strictly limited to users authorized under this EULA.
Intellectual Property Rights
Ownership of STARTERKIT
All intellectual property rights in the STARTERKIT, including the STARTERKIT code, user interface, command-line tools, and platform services provided by Aetherspace Digital/FullProduct.dev, and any enhancements, modifications, and updates to these components, are and shall remain the sole property of the COMPANY or its licensors. No rights are granted to the Licensee except as expressly set forth in this Agreement.
Derivative Works
The Licensee retains ownership of any original works created by the Licensee using the STARTERKIT, including new code, applications, end products or other content generated by the Licensee ("Derivative Works"). The COMPANY claims no ownership rights to these Derivative Works. However, the underlying structure, organization, and code of the STARTERKIT used in these Derivative Works remain the intellectual property of the COMPANY.
The Licensee agrees not to claim any ownership in the intellectual property of the STARTERKIT itself, and acknowledges that all use of the intellectual property rights in the STARTERKIT is licensed, not sold, under the terms of this EULA. The Licensee is responsible for ensuring that Derivative Works do not include proprietary information or intellectual property of the STARTERKIT in contracts set forth by the Licensee that would breach this Agreement.
Use of Derivative Works
The Licensee may use, sell, and distribute End Products created using the STARTERKIT in compliance with this Agreement. However, the STARTERKIT itself, or any part thereof, may not be redistributed, sublicensed, or made available separately from an End Product. The Licensee must ensure that all use of the STARTERKIT within Derivative Works or End Products is bound by terms that protect the COMPANY's intellectual property to the same extent as this EULA.
Limitation of Liability
Software Provided "As-Is"
The STARTERKIT is provided "as-is" and "as available," as an initial setup, with all faults and without warranty of any kind. It is still up to you as the end-product provider to test thoroughly and ensure your end-users can operate a fault-free end-product. The COMPANY expressly disclaims all warranties, whether express, implied, statutory, or otherwise, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. You acknowledge that you have relied on no warranties other than the express warranties in this EULA and that no warranties are made by any of our suppliers.
Responsibility for End Products
The Licensee is solely responsible for the design, functionality, and overall development of the end products created using the STARTERKIT. The COMPANY does not warrant that the STARTERKIT will meet the Licensee’s requirements or that the operation of the STARTERKIT will be uninterrupted or error-free. The Licensee assumes all responsibility for selecting the STARTERKIT to achieve intended results and for the installation of, use of, and results obtained from the STARTERKIT.
Limitation of Damages
In no event will the COMPANY be liable for any consequential, special, incidental, or indirect damages of any kind arising out of the delivery, performance, or use of the STARTERKIT, even if the COMPANY has been advised of the possibility of such damages. In any event, the COMPANY's liability for any claim, whether in contract, tort, or any other theory of liability, will not exceed the license fee paid by you, if any.
No Liability for Business Losses
The COMPANY shall not be liable for any loss of profits, loss of business, loss of data, interruption of business, or for any other indirect, special, incidental, or consequential damages of any kind that arise out of the use of, or inability to use, the STARTERKIT, even if the COMPANY has been advised of the possibility of such damages.
Basis of the Bargain
The limitations of liability set forth above are fundamental elements of the basis of the agreement between the COMPANY and the Licensee. The COMPANY would not be able to provide the STARTERKIT on an economic basis without such limitations.
